BAD KARMA Terms of Use Product: bad-karma/core Version: 2.3 Effective: October 18, 2026 1. Acceptance and material changes BAD KARMA is operated by William Mayo LLC, a North Carolina limited liability company ("we", "us"). These Terms of Use ("Terms") govern access to and use of the BAD KARMA application and related services (the "App"). Before using the App you must read these Terms and the current Privacy Policy and tap the accept button shown in the App. Opening a screen, continuing to use the App, or having accepted an older version does not count as accepting this version. When we make a material change to either document, we will ask you to accept the new versions in the App before you continue. If you do not agree, do not accept these Terms. While acceptance is pending, the App may keep your data safely on your device, but some features stay locked. 2. Eligibility and accounts You must be at least 18 years old, or the age of majority where you live if higher, and able to form a binding contract. You are responsible for accurate account information, for activity under your account, and for protecting access to your email, device, and sign-in codes. 3. General fitness and wellness information only BAD KARMA is a general fitness, nutrition, and wellness tracker. Calorie and macronutrient targets, training programs and suggestions, bodyweight trends, AI Coach replies, and other content are informational only. They are not medical, nutritional, mental health, legal, or other professional advice and do not create a clinician-patient or other professional relationship. The App does not prescribe, dose, or manage medication. Medication and hunger tracking are turned off in this release. Follow your licensed clinician's instructions. Consult an appropriately qualified professional before beginning or changing diet, training, supplements, or medication. If you may have a medical emergency, contact emergency services. BAD KARMA is not presented as a service provided by a HIPAA covered health care provider or health plan. Other privacy and consumer protection laws may still apply, including state consumer health data laws. Our Consumer Health Data Privacy Policy explains how we handle health-related information. 4. Assumption of training risk Exercise, strength training, Brazilian jiu-jitsu, grappling, conditioning, and related activity can cause serious injury, illness, disability, or death. You voluntarily assume the risks of activity you choose and are responsible for your health, limits, technique, equipment, environment, and decision to stop or seek help. 5. Your data and Crew content You retain responsibility for content you enter or share. Private Food, bodyweight, and training information may sync to private cloud storage for your account. Crew posts, chat messages, reactions, status, and shared training summaries are visible to authorized members of that Crew. Text Heckles and Heckle replies are visible only to the two people in that exchange. Do not post another person's confidential or personal information without permission. You grant BAD KARMA the limited rights needed to host, process, transmit, back up, and display your content to operate the App and the sharing choices you make. These rights end for content that is deleted, except for copies we must keep by law or that remain for a short time in backups before they are overwritten. Private Heckle media is stored in private object storage and follows the media lifecycle described in the Privacy Policy. No system can guarantee uninterrupted operation or that data loss will never occur. Keep an export of data you cannot afford to lose. 6. Acceptable use and zero tolerance for objectionable content Do not use the App to harass, threaten, impersonate, exploit, defraud, unlawfully surveil, distribute malware, bypass access controls, interfere with service operation, or violate law or another person's rights. Do not attempt to access another user's private or account data. There is zero tolerance for objectionable content and abusive users. Do not post content that is unlawful, hateful, harassing, threatening, sexually explicit, exploitative of minors, graphically violent, or that targets a person or group for who they are. The same applies to Crew messages, comments, photos, videos, voice and text Heckles, Heckle replies, display names, and Crew names. Friendly trash talk between consenting Crew members is part of the App's tone. Harassment, bullying, and abuse are not. You can report any Crew message, post, comment, photo, or Heckle, or the person who sent it, from the App. You can also block another user so you no longer see their content, and blocking someone also reports them to us. We respond promptly to reports and aim to review them within 24 hours. Content that breaks these Terms is removed, and users who break them are removed from the App, with or without prior warning. We may also limit or suspend access when needed to protect users, the service, or legal compliance. If you believe someone is in immediate danger, contact emergency services. If you believe someone under 18 is using the App, tell us at the contact address in section 16. We will look into it and close the account if we confirm it. 7. Plans, free trial, and billing BAD KARMA is a paid service. There are two plans: Core: $4.99 per month or $39 per year. Core + AI: $9.99 per month or $99 per year. Core + AI adds AI Coach and AI Food. Web prices are in US dollars and do not include taxes where taxes apply. In the iPhone app, Apple shows the price in your local currency before you buy. Who bills you. If you subscribe on the web, Stripe processes your payment for us. If you subscribe in the iPhone app, Apple bills your Apple ID. Apple sets the payment terms, handles cancellation, and decides refund requests for purchases made through Apple. We use RevenueCat to confirm Apple purchases and keep your plan active in the App. Free trial. New customers can start a 14-day free trial of Core + AI. A payment method is required to start the trial. Unless you cancel before the trial ends, the plan you chose starts automatically at the end of the trial and you are charged the price shown when you signed up, then again at each renewal. One free trial per person. We may refuse a free trial to anyone who has already had one, including under another account or email address. Before a web trial starts, the App shows the plan, the price, the date of the first charge, and how to cancel. If you start a trial on the web, Stripe emails you a reminder before it ends and a receipt when your first payment goes through. A trial bought in the iPhone app is managed by Apple, and your Apple ID subscription settings show the date it ends. Automatic renewal. Paid plans renew automatically every month or every year, depending on the plan you chose, at the price then in effect, until you cancel. Before you subscribe, the App shows the plan, the price, the billing interval, the date it renews, and how to cancel. On the web, Stripe emails you a receipt for each payment. Before an annual web plan renews, we email you a reminder with the renewal date and price. How to cancel. On the web, cancel in the App under Settings, Manage plan. For a plan bought in the iPhone app, cancel in your iPhone Settings, under your name, then Subscriptions, at least 24 hours before the renewal date. Cancelling stops future charges. You keep paid access until the end of the period you already paid for. You can also email us at the address in section 16 and we will cancel a web subscription for you. Failed payments. If a renewal payment fails, you keep access for a short grace period while we or Apple retry the payment. If the payment still does not go through, paid access ends. A chargeback or payment dispute may suspend paid access right away. When paid access ends. If your trial or plan ends without renewal, your account becomes read-only. You can still sign in, view your history, and export your data, but you cannot add or change entries or use AI features until you subscribe again. We do not delete your data because a plan lapsed. Refunds. For web purchases, we do not give refunds for partial periods or unused time on an annual plan, except where the law requires it or where we choose to. For iPhone purchases, ask Apple for a refund. Apple decides those requests, not us. Price changes. If we change the price of a web plan, we email you at least 30 days before the change applies. The new price starts at your first renewal after that notice, and you can cancel before then. Apple notifies iPhone subscribers of price changes and asks for consent where Apple's rules require it. Founding accounts. A small number of early accounts we designate receive complimentary access. We may end complimentary access at our discretion. If we do, we will tell you in advance, and you can then subscribe or keep read-only access as described above. AI limits. AI Coach and AI Food share a usage allowance of $3 in AI provider cost per account per calendar month, measured in Coordinated Universal Time (UTC) and reset on the first day of each month. Daily limits and service limits also apply. When you reach a limit, AI features pause until it resets. Manual logging keeps working while your plan is active. 8. Account deletion and device reset Reset this device removes local app state according to the reset screen. It is not account deletion and does not delete cloud or account data. Cloud data may sync back after you sign in again. You can delete your account at any time in the App: Settings, Account & privacy, Delete account. You confirm with a code sent to your email. Deletion removes your login, profile, private cloud data, and the content you created, including your Crew posts, comments, chat messages, text Heckles, Heckle replies, photos, videos, and voice Heckles, along with your karma, reactions, votes, and Crew memberships. When either person in a text Heckle conversation deletes their account, the whole conversation is deleted, including the other person's Heckles and replies. If you own a Crew, ownership passes to the member who has been in it longest, and a Crew with no other members is deleted. The Privacy Policy lists the limited records we keep after deletion, such as billing records, records of the Terms you accepted, and reports other users filed about your content, with a copy of that content, so we can act on them. Deleting your account cancels a web subscription billed through Stripe, and deletion goes ahead without waiting for you to cancel first. It does not create a refund for the rest of the paid period. If a renewal is charged after you delete your account but before the cancellation reaches Stripe, we refund that charge. Deleting your account does not cancel a subscription bought through Apple, because we cannot cancel Apple subscriptions for you. To stop those charges, cancel in your iPhone Settings, under your name, then Subscriptions. You can do this before or after you delete your account. 9. Third-party services The App uses service providers for hosting, authentication, the cloud database, private object storage, crash reporting, push notifications, AI features, GIF search, food search, payment processing, and in-app purchase management. They are named in the Privacy Policy. Third-party services may have their own terms and privacy practices. BAD KARMA is not responsible for services it does not control, except as required by law. 10. Intellectual property The App, excluding user content, is owned by or licensed to BAD KARMA and is protected by applicable intellectual property laws. These Terms grant you a limited, personal, revocable, non-exclusive, non-transferable right to use the App for its intended purpose while you comply with these Terms. If you got the App from Apple's App Store, Apple's standard licensed application terms also apply, and Apple is not responsible for the App or its support. 11. Changes, availability, and termination We may change, suspend, or discontinue features. Material changes to these Terms or the Privacy Policy require your new acceptance in the App. We may end or restrict access for a material violation, security risk, legal requirement, or service shutdown. If we shut the service down, we will give you notice and a chance to export your data, and we will refund any prepaid web subscription time we cannot provide. Provisions that by their nature should survive termination remain in effect. 12. Disclaimers To the fullest extent permitted by law, the App is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded. 13. Limitation of liability To the fullest extent permitted by law, BAD KARMA and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or opportunity arising from the App. To the same extent, our total liability for any claim about the App is limited to the amount you paid us in the 12 months before the claim. This section does not apply where prohibited by law and does not limit liability that cannot lawfully be limited. 14. Governing law and venue These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Except where applicable law provides otherwise, disputes that may be brought in court are subject to the jurisdiction of state and federal courts located in North Carolina. This section does not remove any non-waivable consumer right or venue protection. 15. General terms If a provision is unenforceable, the remaining provisions remain in effect and the affected provision will apply to the maximum lawful extent. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. We may transfer them in connection with a reorganization, financing, sale, or transfer of the App, subject to applicable law. 16. Contact William Mayo LLC.
